The Board Minute · No. 2

Have We Followed the Right Process?

Most boards know they need authority to act. The harder part is often how the decision is made: notice, the vote, documentation and consistency.

One of the comments on my last post made an observation I hear often from attorneys and community association managers:

The biggest breakdown isn’t usually authority. It’s process.

I think there’s a lot of truth to that.

Most boards understand they need authority to act. Where things often become more complicated is how the decision is made.

Questions like:

  1. Was proper notice given?
  2. Was the required vote obtained?
  3. Was the decision documented appropriately?
  4. Has the board handled similar situations consistently?

Those questions may seem procedural, but they often determine whether a board’s decision is supported if it is later questioned.

Process isn’t just administrative. It is part of making sound board decisions.

When authority and process work together, boards are in a much stronger position to carry out their responsibilities with clarity and confidence.

What procedural issue do you see creating the most challenges for boards today?
